Nothing, except that the humor of the British version wouldn't hold the average American audience. It does well on Comedy Central, but it wouldn't do well on primetime network tv. Americans on a whole don't get British humor, which is why I used to get into arguments with people all the time as to why the majority of British comedies were funnier than damn near anything the networks had, which I presume is why a lot of UK shows ended up copied by US networks, only to be ruined.

By the way, I may be the only one, but I think the Drew Carey show is funnier than Seinfeld. But neither one beats MASH, or Clerks - the Animate Series (trying to be on topic). Let the toungue-lashing begin.
